Use VirtualDub. You must have the DivX codec installed.
Go to Video/Compression, select DivX. Go to Audio/Compression(if grayed out, go down and select Full Processing Mode), select MP3, 192kbps.
Should convert at 4x or so speed, and bam, it'll be miniaturized--I can convert a video off my camera(uncompressed AVI) from 600mb to 20mb in 30 seconds.
