Disaster!

Click on Options, Advanced Options, check that something didn't set hardware T&L off or do something weird with the vertex offset. Also check the display settings tab to make sure it's not trying to run in 1280x1024 windowed when your desktop is set to 1024x768, or trying to run 16 bit depth when your desktop is set to 32 bit. Right click on an empty spot on the desktop and select properties to see what your desktop is set to run at, something may have changed that. When all else fails reboot the system if you haven't tried that already.
 
And make sure your resolution in options is set to the resolution you usually use. I have a CRT monitor and use 1280 x 1024, and every once in awhile this changes in Trains options menu to 1024 x 768, and Trainz will not start.
 
go to options and see which box is checked openGL or directX, then try checking the opposite box then start the game

I switched to the other setting (opengl to directx) and reluctantly TS12 did start again! it looks like it is unstable or maybe i am the one nervous -- so many hours of work about to be lost, very dishearting

That's the problem right there, it sometimes does that after a crash or freeze. Uncheck the boxes for Vertex Offset and Disable Hardware TL, both of those boxes should always be empty unless you're running on a really weird system that requires them.
 
Also set your resolution in Trainz to be the same as your Windows resolution. Your Windows is 1920 x 1080 and Trainz is 1024 x 768.

Not relevant. I have my desktop at 1280x1024, and I can run fullscreen or windowed with no problem at any resolution less than that including 1024x768. His problem is the Vertex Offset and Disable Hardware TL being checked on, nothing more than unchecking those needed to fix it.

If you had followed my suggestion in my post above ( Post #4) and set you screen resolution from 1024 x 768 to 1920 x 1080 (the screen resolution of your monitor), your problem would have been solved in about 1 minute. Vertical offset is checked or unchecked when you fonts have a faded look to them in the listing for your routes. This happens to my system about twice a week, and the only thing I have to change is the screen resolution. It is some bug in Trainz that causes this change of the setting I'm afraid. It will happen again.

I restored the settings as per your suggestions and every thing is back to normal.
Thank you all so much for your help, precise and on time.
I was scared not for my stuff which I usually back up often. It is the hunfreds of hours fixing the crap from DL.
TIme for trainzing again, yeah!
