i am looking for the reason the assets in surveyor that are red highlighted (AC MWM) will not down load on to surveyor grid, and why download helper dosen't acknolege them? it says they can not be found in the down load station yet in 06 and 04 they work good.

This could be the result of two issues.

A problem with some older assets being pulled off of the DLS by Auran. Perhaps they figured that it's time to retire the older assets particularly if they are now built-in the newer versions of Trainz.

Or perhaps the asset link is broken on the DLS. This has happened before with some items, including dependencies, which makes it difficult to install items because they won't work properly.

If you can give us the KUID number for the item you are looking for, maybe someone here can help you find the asset.
