The first problem you have is an indication the content is faulty or contains errors (hence it won't load). A lot of older or pre 09 content suffers from this problem. Apart from manually opening each faulty item and fixing errors one by one (a laborious task), a quick-fix that works with most faulty items is to set TRS10 into 'Compatibility Mode'.
To use Compatibility Mode, click on Settings in the main menu in Surveyor or Driver, and select Video Settings, and click the tick on next to 'Turn on Compatibility Mode', and select ok. You'll have to shut down 2010 and restart it in order for it to work though.
Most faulty content should now work with Compatibility Mode, but some content is just so buggy or faulty it will not work even with this, so it needs to be fixed manually. The Trainz community is slowly but surely working their way through fixing as much faulty content on the DLS as they can, but it's a slow process.
For your second problem, apparently it's a bug in some video card drivers when running Trainz on certain video cards - turning off 'Enable Hardware Accelerated Texture Compression' in CMP's settings apprently fixes the issue for most people (this is accessed by loading up CMP, and under 'File' on the main toolbar at the top selecting 'Settings' and then 'Miscellaneous'), but I've heard some people still cannot fix it even by doing the above. But I don't know much else about this problem I'm afraid.
