I'm sure most people know this, but I just figured it out today. I've noticed trainz was lagging recently, and after doing the ctrl-alt-del thing, I noticed that there was a process running which was taking up 49% of the cpu - the process is called wmpnetwk.exe - which has to do with Windows Media Player 11.
The way to correct this is to go into WMP, right-click on the library tab, go to media-sharing, and dis-allow media sharing, and the cpu should be yours again.
