what constitutes flagging an asset faulty and showing the ! ? what steps should i take to fix it?

Right-click on it and select "View Errors & Warnings". That should give you a hint in the right direction.

You can and should ignore "thumbnail missing" warnings.
An other warning which not always results in a problem is a "trainz build numbers below 2.7 are no longer supported".

ok, here are some of errors i get. the first item was covered in above reply, but what do others mean and are they important or not?
Warning: This asset uses an obsolete trainz-build number. Trainz-build numbers below 2.7 are no longer supported.
Warning: Required tag 'region' was missing and has been set to default.
Warning: Required container 'thumbnails' is missing.
Error: The tag 'info-page' in container 'map' is empty.
Warning: An asset must be specified for tag 'water'.
Warning: An asset must be specified for tag 'region'.
Error: Missing or invalid selection for tag 'category-class' in 'map'.
